Aegon: Latest state of affairs

This report discusses some current affairs, such as the appointments of senior management at asr, employee sessions for the transition to asr and the latest state of affairs regarding remainco (AEN).

Appointments

The proposed appointments at asr were announced last week. asr will have a management board in which three members will be appointed in addition to the Executive Board. Twenty senior managers will lead the business units at asr and a number of other appointments have been made at management level. The latter group involves new positions or filling existing vacancies. Of the 18 colleagues at Aegon Netherlands who were qualified for a position at asr, 15 will hold a suitable position within asr upon closing. The first reactions of Union members to the proposed appointments are positive. They recognize Aegon's structure in the new management board and also see good people from Aegon in senior management. All proposed appointments are still subject to the closing of the transaction with Aegon and regulatory approval. On Wednesday, June 14, 2023, the regulator ACM (Authority for Consumers & Markets) found that there is still sufficient competition in the insurance market and has therefore approved the acquisition.

Current director of HR Clim Parren will be working on the collective labor agreement at asr, so we will continue to see this at the negotiating table in the coming months. We are now working on the first step and after the summer we will continue with further harmonization and the formation of a new collective labor agreement as of 1 July 2024.

Employee sessions transition asr

Friday the 16e June we will make the final decisions. So it is good to first provide an explanation about the integration of the employment conditions package. Two online sessions were organized on Thursday 15 June. The first session is from 12:00 PM to 13:30 PM and is in Dutch. The second session is for English speakers and takes place from 17:00 PM to 18:30 PM. In the sessions, HR discusses the process, general principles for the integration process are discussed and they tell more about remuneration & job evaluation, working hours, pension, social plan, the outstanding points for discussion, the follow-up process and there is room for questions. Trade unions and the COR are also present in both sessions. The invitation is on the intranet and you will also find the teams link there.

Remainco (AEN)

The latest state of affairs regarding remainco is that the employees will transfer to the new personnel entity Aegon Employee Netherlands BV (AEN) as of July 1, 2023. The original planning was June 1, 2023, but not all matters with external parties had been arranged sufficiently to transfer. HR AEN is busy with the latest matters regarding the transition of employees to AEN, the employment conditions of AEN (cao, social plan, pension and personnel schemes), the splitting of the HR systems, the transfer of contracts with external suppliers and the organization of HR. Employees will receive a letter about the transition to AEN no later than the last week of June.
